1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the Listing Visions platform, website, and services (collectively, the "Service"), a brand of Juniper Meridian LLC ("Listing Visions," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of service

Listing Visions is an AI-generated real estate listing video platform. Videos are generated from user-submitted photographs using an automated pipeline that includes photo classification, optional virtual staging, AI-composed soundtracks, and cinematic rendering in multiple aspect ratios. Virtual staging is available as an optional add-on. The Service is provided on an "as-is" and "as-available" basis.

3. Account requirements

• You must be at least 18 years of age to create an account
• You must provide accurate, current, and complete information during registration
• A business email address is required for free-tier eligibility
• One account per person or business entity
• You are responsible for maintaining the security of your account credentials and for all activity under your account

4. Acceptable use and photo submissions

By submitting photos to the Service, you represent and warrant that:

• You own or hold commercial rights sufficient to submit and process all photos you upload
• Photos were not scraped, copied, or otherwise obtained from MLS systems, Zillow, Redfin, Realtor.com, or any listing platform without explicit rights from the copyright holder
• Photos do not contain illegal, defamatory, infringing, or otherwise prohibited content
• You grant Listing Visions a limited license to process, modify, and transmit the submitted photos solely for the purpose of generating your ordered video

Prohibited uses

• Submitting photos you do not have rights to use commercially
• Using generated videos in a way that misrepresents the actual physical condition, features, or characteristics of a property
• Attempting to circumvent free-tier limits through multiple accounts, spoofed device fingerprints, or other means
• Reverse engineering, decompiling, scraping, or otherwise attempting to extract source code or proprietary pipeline logic
• Reselling or sublicensing the platform itself (reselling individual generated videos to your own clients is permitted and expected for photographer users)

5. Fair Housing Act compliance

Users are solely responsible for ensuring that all marketing materials — including videos generated through the Service — comply with the federal Fair Housing Act and all applicable state and local fair housing laws. Listing Visions does not provide legal advice regarding fair housing compliance.

Users must not use generated videos in any manner that discriminates or gives the appearance of discriminating on the basis of race, color, national origin, religion, sex, familial status, or disability. Listing Visions disclaims any liability arising from the use of generated content in violation of fair housing law.

6. Virtual staging disclosure obligation

Users who include virtually staged imagery in any listing, advertisement, or marketing material agree to the following obligations:

• Disclose the use of AI virtual staging in all listings where staged imagery appears
• Include disclosure text such as "Virtually staged" or "AI-enhanced presentation" on or adjacent to all staged images
• Comply with all applicable MLS rules regarding virtual staging disclosure for every MLS in which the listing is published
• Not represent virtually staged imagery as the current physical condition of the property

Failure to comply with these disclosure obligations is a violation of these Terms and may result in account suspension or termination.

7. AI content disclosure

Generated videos contain AI-generated and AI-enhanced visual and audio elements throughout. Users agree to disclose the AI-generated nature of content wherever required by applicable real estate advertising regulations, MLS rules, National Association of REALTORS® (NAR) guidelines, or state law. Users are solely responsible for staying current on disclosure obligations in their jurisdiction.

8. Intellectual property

• Your photos — you retain full ownership of all photos you submit. Submission grants us only the limited license described in Section 4.
• Our platform — Listing Visions retains all right, title, and interest in the Service, including the underlying pipeline, prompt engineering, proprietary systems, brand, and all associated intellectual property.
• Generated videos — upon order fulfillment, you receive a perpetual, non-exclusive, worldwide commercial license to use the generated video for real estate marketing purposes, including resale by photographer users to their agent clients.
• Portfolio and case studies — Listing Visions retains the right to use anonymized video examples for marketing and platform improvement, with per-user opt-out available by email request.

9. Payment terms

• All prices are quoted in United States Dollars (USD)
• Payments are processed by Stripe, subject to Stripe's own terms
• Subscription plans auto-renew on a monthly or annual basis until cancelled
• Credits purchased under a plan do not expire up to the bank limit defined for that plan
• No refunds are issued for credits that have been consumed to generate a video
• Refunds on unused subscription credits may be issued at our sole discretion
• Chargebacks will be disputed vigorously; fraudulent chargebacks may result in permanent account termination

10. Regeneration and quality policy

• Every standard video order includes one complimentary regeneration
• Orders that include virtual staging include two complimentary regenerations
• Regeneration requests must be submitted within seven days of the original delivery
• Listing Visions does not guarantee staging results on photos that fail to meet our published staging photo requirements
• At our sole discretion, we may issue a full refund for any order where quality standards have not been met after the regeneration allowance has been exhausted

11. Limitation of liability

To the maximum extent permitted by applicable law:

• Listing Visions is not liable for how generated videos are used, distributed, or published by users
• Listing Visions is not liable for Fair Housing Act violations arising from a user's use of generated content
• Listing Visions is not liable for MLS rule violations arising from a user's failure to disclose AI-generated content or virtual staging
• Our total aggregate liability under these Terms is limited to the amount paid by the user for the specific order giving rise to the claim
• In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or loss of business opportunity

12. Indemnification

You agree to indemnify, defend, and hold harmless Listing Visions, its officers, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Photos you submitted without proper commercial rights
• Fair Housing Act violations in your use of generated content
• Failure to disclose AI-generated content where required
• Any other violation of these Terms

13. Dispute resolution

• Governing law — these Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles
• Arbitration — any dispute arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration conducted in Gwinnett County, Georgia
• Class action waiver — you agree to resolve disputes only on an individual basis and waive any right to participate in a class, collective, or representative action
• Small claims exception — either party may bring an individual action in small claims court for qualifying disputes

14. Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms
• Abuse the free tier through multiple accounts or fingerprint spoofing
• Submit photos without proper commercial rights
• Engage in fraudulent activity including chargeback fraud

Upon termination, your right to access the Service ends immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) will survive.

15. Changes to terms

We may update these Terms from time to time. For material changes we will notify registered users by email at least 30 days before the changes take effect. Your continued use of the Service more than 30 days after notice of changes constitutes acceptance of the updated Terms.
